1. Acceptance of terms
These Terms of Use (“Terms”) form a binding agreement between you and ScopeHawk (“ScopeHawk,” “we,” “us”) governing your access to and use of the ScopeHawk website, application, and services (collectively, the “Service”). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility and account
You must be at least 18 years old and legally able to enter into contracts. You agree to provide accurate information when creating an account and to keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.
3. Permitted use
The Service is licensed for business-to-business use in the commercial roofing and related construction industries. You may use the Service only for lawful purposes consistent with these Terms.
4. Prohibited use
You agree not to:
- Use the Service or any data obtained through it as a “consumer report” under the Fair Credit Reporting Act (FCRA) or for any FCRA-regulated purpose (employment, tenant screening, credit, insurance underwriting, etc.).
- Use the Service for residential consumer solicitation, unsolicited consumer marketing, or any purpose that violates the Telephone Consumer Protection Act (TCPA), CAN-SPAM, or similar laws.
- Resell, redistribute, sublicense, or republish data obtained from the Service as a standalone product or database.
- Scrape, harvest, reverse-engineer, decompile, or attempt to extract the source code, models, or data pipelines of the Service.
- Bypass, disable, or interfere with security or access-control features.
- Use the Service to harass, defame, stalk, or harm any individual.
- Use the Service in violation of applicable export-control, sanctions, anti-bribery, or other laws.
- Upload viruses, malware, or other code intended to disrupt the Service.
5. Data accuracy and no warranty of completeness
ScopeHawk synthesizes information from third-party and public-record sources. While we strive for accuracy, we do not guarantee the accuracy, completeness, timeliness, or fitness for any purpose of the data, reports, scores, or AI-generated summaries delivered through the Service. Reports may contain errors, omissions, outdated records, or AI-generated inferences that have not been independently verified. You are solely responsible for verifying any information before relying on it for business decisions, contracts, marketing outreach, or any other use.
Reports are not appraisals, legal opinions, title opinions, structural assessments, or engineering reports. Do not rely on them as a substitute for licensed professional judgment.
6. Fees and billing
Access to the Service may be free, subscription-based, or usage-based depending on your account. Pricing and billing terms, if any, are presented at the time of sign-up or purchase. Fees are non-refundable except where required by law. We may change pricing on prospective notice.
7. Intellectual property
The Service, including its software, design, branding, AI models, report templates, and the ScopeHawk name and marks, is owned by ScopeHawk and protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. All rights not expressly granted are reserved.
You retain ownership of inputs you submit. By submitting inputs, you grant us a worldwide, royalty-free license to use them to operate, maintain, and improve the Service.
8. Third-party services and data
The Service incorporates data and capabilities from third-party providers. Your use may be subject to those providers' terms. We are not responsible for third-party content, availability, or accuracy.
9. Disclaimer of warranties
THE SERVICE AND ALL DATA, REPORTS, AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOPEHAWK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS (USD $100).
11. Indemnification
You agree to defend, indemnify, and hold harmless ScopeHawk and its affiliates from any claim, damage, loss, or expense (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of any law, or your infringement of any third-party right.
12. Termination
We may suspend or terminate your access at any time, with or without cause or notice, including for any violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) will survive.
13. Governing law and disputes
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Denver, Colorado, and you consent to personal jurisdiction there. To the extent permitted by law, you and ScopeHawk each waive the right to a jury trial and the right to participate in a class action.
14. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.
15. Entire agreement
These Terms, together with the Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and ScopeHawk concerning the Service. If any provision is held unenforceable, the remaining provisions remain in effect.
